Property Listing Sale Agreement Terms & Conditions

1. Authorization
The vendor authorizes Girasol Homes Limited, to market and sell the property described within the terms and conditions set out below.
Girasol Homes Limited, agrees to register this property within 24 hours, thereby insuring the property is available for sale with the extended Girasol Homes Limited portfolio of clients and collaborators.

2. Property details

The Vendor confirms that the details shown overleaf and the listing form are correct and will notify Girasol Homes Limited, immediately in writing, of any alterations to the property description and/or price.

3. Fees

Upon completion of the sale, the Vendor agrees to pay the commission stated overleaf (plus applicable VAT) via one or several bankers drafts. For purposes of this agreement, completion of sale shall be deemed to be upon exchange of contract between the Buyer and the Vendor or their representatives, either at Public Notary or by prIVA (if applicable) or local taxes.te contract. In case the agreed commission is 5% *plus IVA (IF APPLICABLE) OR LOCAL TAXES. The Vendor agrees expressively to pay the fees stipulated (plus applicable VAT) if the Buyer has been presented by any member of the team or agent network of Girasol Homes Limited. The vendor also agrees to provide the full details of any buyer introduced via any other party who goes forward to buy the property. Name, address, nationality and contact details.

4. Reservation Deposit

The initial reservation deposit received for the property will be placed in the client’s account of Girasol Homes’ Representatives, or will be held by their legal representative until the completion of the sale in certain case. In the case of non-completion of the sale by the Vendor, the reservation deposit will be refunded in full to the Buyer. In the case of non-completion of the sale by the Buyer (unless special conditions accepted in writing by both parties) it is usually agreed that 50 % of the initial reservation deposit will be paid to the Vendor and 50% retained by the selling agent as compensation for expenses undertaken.

5. Introduction of collaborating agencies

The owner promises not to give the right to sell his property to any other agency which has previously been introduced by Girasol Homes Limited through showing his property to a client of that other agency in order to achieve a possible sale jointly.
* Subject to a minimum fee of 5,000 euros

In case the owner would act against this condition and a sale of his property would be arranged by an agency to which his property was previously introduced by Girasol Homes Limited, the owner will be obliged to pay as compensation to Girasol Homes Limited the full amount of commission as agreed in this sales agreement, at the moment of signing the public title deed of that sale at the notary, carried out without Girasol Homes Limited.

6. Title

The Vendor warrants that he holds the legal title and that he will provide a copy of the same as soon as possible to Girasol Homes Limited or its local representatives, as well as any other documents required to be able to comply with the Decree BOJA 218/2005 (Spanish Law) for consumer information and protection. (Does not apply to non Spanish transactions.

7. Expenses

All expenses that arise from the transfer of the property are payable by the Buyer, except the Plusvalía tax and tax and charges resulting from cancellation of any debt, charge or mortgage, which will be payable by the Vendor. (Applies to Spanish transactions).



8. Exclusion

The Vendor agrees to exclude all members of the team of Girasol Homes Limited from any liability or whatever nature arising from breach of any contract between the Buyer and the Vendor.

9. Withdrawal / amendments

The Vendor reserves the right to withdraw the property from the market being obliged to inform about this fact and about any change of the details of this sales order (e.g. price, etc.) by providing notice in writing in a maximum of 48 hours. However, should the Vendor or legal representative subsequently enter into a purchase contract directly with any buyer introduced by Girasol Homes Limited, the Vendor will be liable to compensate Girasol Homes Limited, for all expenses pertaining to the promotion of the property, said amount, as agreed between the parties, equating to the commission as specified overleaf.



10. Venue

For any type of legal discussion that could arise from this present agreement, both parties expressively renounce to any own venue that might correspond to them and they submit themselves to the jurisdiction of the Courts of the United Kingdom or locally via Girasol Homes’ local agency.
